Adroit Alliance - Terms and Conditions
Welcome to Adroit Alliance. These Terms and Conditions ("Terms") govern your use of our website
[www.adroitalliance.com] and services provided by Adroit Alliance ("we", "our", or "us").
By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any
part of these Terms, please do not use our website or services.
1. Project Terms
a) Quotations and Scope:
All quotations are based on our understanding of the project requirements at the time of proposal. Any changes to
the scope or requirements after acceptance may incur additional costs. Clients must clarify all requirements upfront
to avoid discrepancies later.
b) Acceptance:
Acceptance of our proposal can be made verbally, via email, or by making payment. Such acceptance constitutes
agreement to these Terms.
c) Man-Hours and Modifications:
Limited man-hours are allocated per project based on the agreed scope. Minor modifications may be included within
scope, but any additional work beyond the original agreement will be charged separately.
d) Design Changes:
Any design changes requested after design approval has been given will attract additional fees. It is the client's
responsibility to review and approve designs thoroughly before sign-off.
e) Revisions and Rework:
Any rework on an already completed and approved task will attract additional charges. Bug fixes during development
are included at no extra cost; however, post-launch modifications, enhancements, or changes will be charged
extra.
f) Content Submission:
All content required for the project (text, images, videos, logos, etc.) must be provided as and when requested by
the team. Delays in content submission may result in project delays and may incur additional fees.
g) Testing:
Websites and applications are tested on recent versions of major browsers including Chrome, Firefox, Safari, and
Edge. Testing on other browsers or older versions is available upon request. Responsive design is tested on mutually
agreed device sizes and app versions.
h) Project Delays:
Projects stalling for more than two months due to client delays (lack of content, feedback, approvals, or
communication) may incur weekly administration costs. Adroit Alliance reserves the right to put such projects on
hold and prioritize other work.
i) Software and Code Ownership:
Adroit Alliance software codes (not including open source software) are copyrights of Adroit Alliance. Custom code
transfer to client is available after full payment as per the agreement. Proprietary systems and CMS developed by
Adroit Alliance cannot be transferred to external hosts.
j) Third-Party Components:
Costs for third-party components such as SSL certificates, payment gateways, APIs, premium plugins, stock images, or
licensed software are not included in project quotes unless explicitly specified. These will be quoted
separately.
k) Open-Source Products:
Clients are responsible for updating and maintaining any open-source products (WordPress, plugins, frameworks, etc.)
used in the project, as well as maintaining regular backups. Adroit Alliance is not liable for security
vulnerabilities in third-party open-source software.
l) Domain and Hosting:
Domain registration and hosting charges are quoted separately unless otherwise specified in the proposal. These are
typically annual recurring costs.
m) Project Handover:
The completed website, application, or project will be transferred to the client only after full payment has been
received. Until then, Adroit Alliance retains access to and ownership of all project files.
2. Annual Maintenance Terms
a) Commitment Period:
Annual maintenance contracts have a minimum 12-month period. Billing is done annually in advance or monthly as
agreed upon.
b) Scope of Maintenance:
The following services are included in the Annual Maintenance Contract:
- Consultation and guidance on the use of the applications/website
- Regular monitoring to ensure impeccable performance across all browsers
- Regular and thorough backups, so that it may be restored in case of any loss
- Monitoring functionality and upgrading plugins that may become outdated or obsolete
- Downtime assistance by liaising with hosting company to resolve issues quickly
- Update applications/website to be compatible with newer third-party libraries
- Troubleshooting if any bug is reported by the client
- Upload newer versions of applications/website to relevant store/server
- Uploading/editing/deleting content, images & videos including blogs & newsletters
- A separate panel for unlimited form responses will be provided
- Content updates, bug fixes or troubleshooting with minimum 24 hours turnaround
c) Exclusions:
Additional features or pages beyond the original scope will be charged as per discussion. This also excludes
complete website redesigns, major functionality additions, or new feature development.
d) Renewal:
Maintenance contracts auto-renew annually. One month's written notice is required to cancel. Renewed contracts
cannot be cancelled mid-term.
3. Payment and Refund Terms
Note: The following are generic payment terms. Specific payment terms applicable to your project would have been
mentioned in your quotation.
a) Currency:
All prices are quoted in Indian Rupees (INR). Adroit Alliance is a proprietorship firm and is not registered under
GST, hence no GST is applicable on our invoices. TDS, if applicable, may be deducted at 1% under Section 194C of the
Income Tax Act.
b) Standard Payment Structure:
- 50% Advance as a confirmation of the project
- After the final project is ready and the suggested changes (if any) by the client are implemented, the final
balance amount of 50% must be paid before the deployment of the project on the servers OR within one week of
completion of the project (whichever is earlier)
c) Non-Refundable Payments:
The payments made by the client after every above-mentioned stage are non-refundable.
d) Project Cancellation:
If the client decides to stop the project/website/mobile-app(s) anywhere in between, the client does not hold the
rights on any of the products made till that date and Adroit Alliance reserves all the rights to keep those products
to themselves.
e) Payment Delays:
If the payment is not received as per the above terms, Adroit Alliance reserves the right to keep the project
offered on hold until the full payment is received.
f) Independent Developer:
We shall be deemed an independent developer and nothing contained herein shall be construed as constituting an
employment, joint venture, or partnership relationship between Adroit Alliance and the client.
g) Delivery Period:
The delivery period mentioned in the quotation is tentative, keeping in mind that we shall get all the required
content from the client's end on time.
h) Domain and Hosting Payments:
Domain and hosting payments are non-refundable. One month's notice is required for cancellation of hosting services.
Third-party renewals (domain, hosting, SSL) are non-refundable once processed.
4. Hosting Terms
a) Payment:
Hosting is charged annually and must be paid in advance. Payment is due at least 7 working days before the renewal
date.
b) Renewal:
Clients are responsible for timely renewal of hosting services. Failure to renew on time may result in service
interruption, data loss, or deletion. Adroit Alliance will not be responsible if services are interrupted due to
non-payment.
c) Unpaid Hostings:
All unpaid hostings may be disabled or deleted from the server without prior notice. Data recovery from deleted
accounts may not be possible.
d) Third-Party Disruptions:
Adroit Alliance is not liable for service disruptions caused by third-party providers, data center issues, network
outages, or circumstances beyond our control.
e) Account Security and Malware:
Clients are responsible for maintaining account security, using strong passwords, and preventing malware infections.
In case of malware attack or infection, files may be deleted without notice to protect server integrity and other
clients. Adroit Alliance is not liable for any losses arising from security breaches.
f) Email Services:
Email accounts must stay within allocated quotas. Clients should download and backup emails periodically. Emails
older than 6 months may be automatically deleted during server maintenance.
g) FTP and Control Panel Access:
For proprietary CMS or managed hosting, FTP access and direct control panel access may not be available.
h) Cancellation:
One month's written notice is required for hosting cancellation. Renewed hosting cannot be cancelled mid-term.
5. Domain Terms
a) Payment:
All domain registrations and renewals must be paid in advance. Payment is due at least 7 working days before domain
expiry.
b) Domain Expiry:
Adroit Alliance will not be responsible if a domain expires due to non-payment or late payment by the client.
Expired domains may be released and registered by third parties.
c) Domain Management:
Domains registered through Adroit Alliance are managed by us. Direct access to domain control panels may not be
available. Domain changes and DNS updates will be handled by our team upon request.
d) Domain Release:
All outstanding invoices must be paid in full before domain transfer or release to another registrar.
6. Intellectual Property
a) Code Ownership:
All source code, designs, algorithms, logic, and materials created for a project are the intellectual property of
Adroit Alliance. The code represents our intellectual effort and expertise. By default, the client receives a
license to use the delivered product, NOT ownership of the underlying code.
b) No Automatic Code Transfer:
Payment for a project does NOT automatically entitle the client to receive or own the source code. Source code
transfer is only provided if:
- It was explicitly agreed upon in writing before project commencement
- Full payment has been received
- Additional fees for code transfer (if any) have been paid
c) Project Cancellation - No Rights:
If the client decides to stop the project/website/mobile-app(s) anywhere in between, the client does not hold the
rights on any of the products, code, or materials made till that date. Adroit Alliance reserves all the rights to
keep those products to themselves and may reuse them as deemed fit.
d) No Resale or Redistribution:
Even if code is transferred to the client, the client cannot resell, redistribute, sublicense, or commercially
distribute the code to third parties. The code remains our intellectual creation and is licensed for the client's
specific use only.
e) Independent Work:
Adroit Alliance shall be deemed an independent developer and nothing contained herein shall be construed as
constituting an employment, joint venture, or partnership relationship between Adroit Alliance and the client. All
work produced remains independent contractor work and intellectual property of Adroit Alliance.
f) Website Credits:
Adroit Alliance may include a small credit link on websites developed by us. Removal of credits may require written
permission.
g) Trademarks:
Adroit Alliance trademarks, logos, and branding are protected. Third parties cannot use our branding without written
permission.
7. Disputes and Liability
a) Dispute Management:
Adroit Alliance reserves the right to charge for time spent on dispute management and may waive any previous
discounts offered in case of disputes.
b) Services "As Is":
Adroit Alliance provides its services "as is" without any guarantees on security, uptime, data protection, or other
issues that may lead to loss of data, sales, or reputation. Clients use our services at their own risk.
c) Third-Party Changes:
Adroit Alliance is not liable for changes made by third-party suppliers, partners, or service providers, or for
service disruptions beyond our control.
d) Force Majeure:
Adroit Alliance is not liable for delays or failures in performance resulting from acts of God, natural disasters,
war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or
shortages of transportation, facilities, fuel, energy, labor, or materials.
e) Indemnification:
Client agrees to indemnify and hold harmless Adroit Alliance against any third-party claims, damages, losses, or
expenses arising from breaches, unauthorized content use, or violations of these Terms.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary, sensitive, or business-critical information
exchanged during the course of our engagement. This includes but is not limited to trade secrets, business
strategies, customer data, and technical specifications. This obligation survives the termination of any agreement.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these
Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
10. Changes to Terms
We reserve the right to modify these Terms at any time without prior notice. Changes will be effective immediately
upon posting on this page. Your continued use of our website and services after any changes indicates your
acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that
provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain
in full force and effect.
